Additional Terms for Company
Registration process: The registration process for Employees to enroll in programs is as follows:

Emeritus will provide Client a Client Portal (if requested by Client).

Employee should apply for a course or program (“Program”) either through the Client Portal or by submission to Emeritus (Employee who has applied to a Program is an “Applicant”).

Applicant’s acceptance in the Program is subject to (a) compliance with the guidelines of Emeritus and its university partners for admission to the requested Program, and (b) Client’s internal approval process.

Once acceptance to the Program has been approved, Applicants become Participants and will be provided their own login details to, and individualized accounts on, the learning platform of Emeritus.

Participants must access and manage their Program and required assignments through the learning platform of Emeritus.
Authorization to create a Client Portal: If Client requests creation of an enterprise portal (“Client Portal”) and to include in the Client Portal access to certain Emeritus Programs. Client acknowledges that the Client Portal will include the names and logos of both Emeritus and Client. Client hereby grants Emeritus a limited license to use its logo in connection with creation and use of the Client Portal.
Term: The Terms are effective while the Services are being provided to Client (the “Term”) and may be terminated by either party at any time by providing the other party no less than three (3)months’ prior written notice, or for a material breach, by providing fifteen (15) days’ prior written notice and an opportunity to cure. Termination of this Agreement shall in no way impact current Participants in the Programs.
Confidential Information: Client agrees not to divulge or communicate to any person or use or exploit for any purpose Confidential Information (understood as all information, know-how and data of a confidential nature which the Parties have obtained under, or during the performance of the Agreement, including but not limited to the Programs), and shall use its best efforts to prevent its and its affiliates, employees or agents from so acting. No Confidential Information shall be reproduced, copied,published, or disclosed to any third party, without the prior written consent of Emeritus. Client agrees that the Program content shall only be used by the registered Participants for self-learning purposes.
Representations: Client represents that: (i) it has the authority and power to enter into the Terms; (ii) it will use commercially reasonable efforts to cooperate with Emeritus in connection with the Services; (iii) its Employees have consented to the disclosure of their personal information to Emeritus and its university partners for the purposes of the Services, and (iv) it shall ensure that the Employees will comply with all applicable laws regarding the Services and Emeritus’ Anti-Bribery and Anti-Corruption Policies.
[1] Applicant will be subject to the same admission process as other non-Client applicants for Programs. Emeritus does not guarantee that Applicants will be accepted in the Program of their choice. For certificate programs, no certificate shall be issued until full payment of program is received.
